Delaware built its reputation on its Court of Chancery and a body of corporate case law that institutional investors and their lawyers know well. If you’re planning to raise venture capital from US funds, that familiarity has real value: term sheets, preferred stock structures, and investor expectations are written with Delaware in mind.
Wyoming, by contrast, was the first state to create the LLC structure and has kept its statute deliberately founder-friendly: no state corporate income tax, no franchise tax on LLCs, strong charging-order protection, and lower ongoing filing costs. It’s a strong default for founders who are bootstrapping, running an online business, or holding assets, and who don’t have an immediate need for the Delaware-specific investor apparatus.
In practice, the deciding factor is rarely “which state” in isolation — it’s whether you expect to raise priced equity rounds from US institutional investors in the next 12–24 months. If yes, Delaware C-Corp is usually the more direct path, even if it costs more to maintain. If your growth plan doesn’t depend on that specific type of capital, a Wyoming LLC gives you a lower-cost, lower-friction structure that can still be converted or restructured later if your plans change.
One more practical point: neither jurisdiction changes where you owe tax as an individual or as a business operating outside the US. State of formation and tax residency are separate questions, and conflating them is the single most common misunderstanding we see.
