Messere Valorant LLC – For all your business endeavors
Every year brings a new round of “is Wyoming still worth it” discussion, usually triggered by another state cutting its own franchise tax or a viral thread claiming the advantages have disappeared. From what we see with our own clients, the reasons Wyoming keeps coming up haven’t actually changed much — they’ve just become better understood.
Non-US founders sometimes arrive expecting Wyoming formation to reduce their personal tax burden. It doesn’t, on its own — tax residency is determined by where you and your business actually operate, not where the LLC is filed. What Wyoming does offer is a low-cost, low-maintenance legal wrapper: no state income tax on the entity itself, no franchise tax, and filing fees that stay flat rather than scaling with revenue the way some other states’ do.
For a founder managing a business remotely, from a different country and time zone, the appeal of Wyoming is less about any single incentive and more about consistency: the same flat annual report fee, the same straightforward filing process, year after year. That predictability is worth more than a marginally lower fee elsewhere that comes with a more complex compliance calendar.
The more relevant shift in 2026 isn’t in Wyoming’s statute — it’s in banking. US banks have tightened onboarding for foreign-owned LLCs across the board, regardless of state of formation, which means the bottleneck for European founders has moved from “which state” to “how do I get a compliant, well-documented entity that a bank will actually approve.” That’s a due-diligence and documentation problem, not a jurisdiction problem — and it’s the one we spend the most time on with clients today.
